These General Terms and Conditions of Business (hereinafter "Terms") shall apply exclusively to all sales, deliveries, and services provided by Rauschmayer Asia Limited (hereinafter "Company", "we", "us") to consumers (hereinafter "Customer", "you").
2.1. By placing an order through our website, via email, or by other means, you are making a binding
offer to conclude a contract.
2.2. We will send you an automatic email confirmation upon receiving your order. This automatic
confirmation does not constitute acceptance of your offer. A binding contract is only formed when we
send you a separate order confirmation or a proforma invoice specifically accepting your order.
2.3. We reserve the right to refuse an order without providing any reason.
3.1. Many of our products, including but not limited to items with engravings, specific ring sizes, or
custom material compositions, are manufactured individually according to your specifications.
3.2. Due to the custom-made nature of these goods, they are not suitable for return. Consequently, you
do not have a statutory right of withdrawal (right of cancellation) once the production of your order
has commenced. By placing an order, you expressly acknowledge and agree to this.
4.1. All prices quoted are in the currency specified on the order confirmation or proforma invoice and
are exclusive of any applicable taxes, duties, or levies, which shall be borne by the Customer, unless
stated otherwise.
4.2. Prices for items containing precious metals are based on the reference price (e.g., Heraeus Hong
Kong Limited 12:00 noon fixing) on the date the order is confirmed by us. This price is valid for 24
hours. If payment is not received within this period, the price may be subject to re-fixing based on
current market rates.
4.3. We offer the following payment methods, as specified on the order confirmation or proforma
invoice: advance payment, bank transfer, or direct debit.
4.4. Full payment must be received before production commences or, in agreed cases, before delivery.
Delayed payment may result in delayed delivery, suspension of work, or additional charges, including
reasonable legal collection costs.
5.1. All orders are fulfilled and shipped from our premises in Hong Kong.
5.2. The estimated delivery time is provided on the order confirmation or proforma invoice and is an
approximation. Delivery times may be affected by factors such as production schedules, precious metal
availability, and customs clearance. We shall not be liable for any losses or damages arising from
delayed delivery, unless caused by our gross negligence or wilful misconduct.
5.3. The risk of loss or damage to the products passes to you upon our delivery to the carrier. You are
responsible for filing any claims with the carrier for goods lost or damaged in transit. For insured
shipments, you must inspect the package immediately upon delivery. Any visible damage must be noted on
the carrier's delivery note and you must reject a visibly damaged or broken parcel to preserve insurance
claim rights. Failure to do so may limit or void your ability to claim for such damage.
6.1. Your statutory warranty rights under Hong Kong law remain unaffected. The statutory warranty
period is [e.g., one year] from the date of delivery.
6.2. During the warranty period, we shall, at our option, either repair or replace any product that
proves to be defective due to faulty materials or workmanship. We may refuse your chosen remedy if it
is impossible or disproportionate compared to the other remedy.
6.3. Any apparent defects, including transport damage, must be notified to us in writing immediately
upon discovery, but no later than 7 days from the date of delivery or from the date the defect became
apparent. Failure to provide timely notice may affect your warranty rights.
Any additional seller's guarantees beyond the statutory warranty are provided only if explicitly agreed in writing and are subject to the specific terms and conditions of that guarantee, which will be provided with the product.
In the unlikely event that a product you ordered is not available, we reserve the right to cancel the order for that item. We will inform you immediately. In such a case, your sole remedy is either to accept a substitute product of equivalent quality and value (if available and agreed by you) or to receive a full refund of any amounts already paid for that specific item.
The products remain our property until full payment of all amounts due under the contract has been received.
10.1. We take the protection of your personal data seriously. We process your personal data (e.g.,
name, address, email, payment details) solely for the purpose of processing your order, managing your
customer account, and communicating with you about your order.
10.2. Your data will not be disclosed to third parties except as necessary for order fulfillment (e.g.,
to payment service providers or shipping carriers) or as required by law.
10.3. We use session cookies on our website to facilitate navigation and improve user experience. You
can configure your browser to reject cookies, although this may affect website functionality.
10.4. For more information on how we handle your data, please refer to our Privacy
Policy. You have the right to access, rectify, or request deletion of your data by contacting

11.1. Governing Law: This Agreement and any disputes arising out of or in connection with it shall be
governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly
excluded.
11.2. Dispute Resolution: Any dispute arising out of or in connection with this Agreement shall first be
referred to the courts of the Hong Kong Special Administrative Region, which shall have non-exclusive
jurisdiction.
11.3. Severability: If any provision of these Terms is held to be invalid or unenforceable, the
remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall
be replaced by a valid and enforceable provision that most closely reflects the original intent.

本《一般交易条款与细则》(以下简称"本条款")适用于 Rauschmayer Asia Limited(以下简称"本公司"、"我们")向消费者 (以下简称"客户"、"您")提供的所有销售、交付及服务。
2.1. 当您通过我们的网站、电子邮件或其他方式下订单时,您即发出了具有约束力的订立合同要约。
2.2. 我们在收到您的订单后会发送自动邮件确认。此自动确认并不构成对您要约的接受。具有约束力的合同只有在我们在

4.2. 含贵金属商品的价格基于我们确认订单当日(例如 Heraeus Hong Kong Limited 中午 12 点定盘价)的参考价格确定。
该价格有效期为 1 天。若在此期限内未收到付款,价格将根据当前市场汇率重新确定。
4.3. 我们提供订单确认书或形式发票上指定的付款方式:预付款、银行转账或直接扣款。
4.4. 生产开始前或在约定的情况下,交付前必须收到全额付款。延迟付款可能导致延迟交货、暂停工作或产生额外费用,
包括合理的法律催收费用。
5.1. 所有订单均从我们在香港的办公地点履行和发货。
5.2. 预计交付时间在订单确认书或形式发票上提供,仅为近似值。交付时间可能受生产计划、贵金属供应和清关等因素影响。
除非由我们的重大过失或故意不当行为造成,否则我们对因延迟交付造成的任何损失或损害不承担责任。
5.3. 产品丢失或损坏的风险在我们交付给承运人时即转移给您。您有责任就运输途中丢失或损坏的货物向承运人提出索赔。
对于投保的货物,您必须在交付时立即检查包裹。任何可见的损坏都必须在承运人的交货单上注明,且您必须拒收明显损坏
或破损的包裹,以保留向保险公司索赔的权利。未能这样做可能会限制或使您无法就此种损坏提出索赔。
6.1. 您在香港法律下的法定保证权利不受影响。法定保证期为自交付之日起 [例如:一年]。
6.2. 在保证期内,对于因材料或工艺缺陷而证明有缺陷的任何产品,我们有权选择维修或更换。若您选择的方式不可能实现
或与另一种方式相比不成比例,我们可能会拒绝。
6.3. 任何明显的缺陷,包括运输损坏,必须在发现后立即书面通知我们,且最迟不晚于交付之日起或缺陷变得明显之日起
7 天内。未能及时通知可能会影响您的保证权利。
超出法定保证范围的任何额外卖方保用,仅在明确书面同意的情况下提供,并受该保用的具体条款和条件约束,相关条款将 与产品一同提供。
在极少数情况下,如果您订购的商品无法提供,我们保留取消该商品订单的权利。我们将立即通知您。在此情况下,您的 唯一补救措施是接受同等质量和价值的替代产品(如有且经您同意),或获得该特定商品已付金额的全额退款。
在收到合同项下所有到期款项的全额付款之前,产品的所有权仍归我们所有。
10.1. 我们非常重视保护您的个人数据。我们仅为处理您的订单、管理您的客户账户以及与您就订单进行沟通之目的处理您的
个人数据(例如:姓名、地址、电子邮件、付款详情)。
10.2. 您的数据不会披露给第三方,除非是履行订单所必需的(例如,向支付服务提供商或运输承运人)或法律要求披露。

11.1. 管辖法律:本协议及由此产生或与之相关的任何争议,应受香港特别行政区法律管辖并据其解释。明确排除《联合国
国际货物销售合同公约》的适用。
11.2. 争议解决:因本协议产生或与之相关的任何争议,应首先提交至香港特别行政区法院,该法院拥有非排他性管辖权。
11.3. 可分割性:若本条款的任何规定被认定为无效或不可执行,其余规定仍应完全有效。无效或不可执行的规定应由最能
反映原始意图的有效且可执行的规定取代。
